An international corporate lawyer and former senior U.S. national security and economic policy official, Mr. Mancuso provides lifecycle transaction and regulatory counsel to investors, management teams, financial advisors and boards of directors of entities operating in regulated or sensitive industries, including defense & aerospace, energy and information technology and telecommunications, among others.

Senior Government Service and Related Experience

From 2007 to 2009, as U.S. under secretary of commerce for industry and security, Mr. Mancuso was the senior U.S. government official with direct responsibility for international trade, transactions and investment matters that implicated U.S. national security and foreign policy interests.  In this capacity, he was the lead U.S. government official for dual-use export controls and strategic technology trade policy, the anti-boycott regulations, U.S. defense industrial base issues and related law enforcement matters.  In addition, his senior government experience also includes

Before entering government service (2005-2009), Mr. Mancuso spent nearly a decade in the private sector as a corporate lawyer advising clients on international M&A and capital market transactions.

Strategic Advisory, Corporate Transactions, and Regulatory Compliance

Mr. Mancuso provides strategic policy, procedural, and technical regulatory counsel to clients, often in connection with the international expansion of their business or inbound foreign direct investment.

Mr. Mancuso was a core participant in CFIUS, and played a substantial role in writing the regulations for the Foreign Investment and National Security Act of 2007 (FINSA), which amended the process by which CFIUS conducts national security reviews of proposed acquisitions of companies in the United States by foreign persons.  While in government, Mr. Mancuso reviewed approximately 200 CFIUS cases as a regulator.

Mr. Mancuso received his B.A., magna cum laude, from Harvard University and his J.D. from New York University School of Law. He is a life member of the Council on Foreign Relations, a visiting senior fellow for international security at the Hudson Institute, and a combat veteran of Operation Iraqi Freedom.
